Terms of Service

Account Requirements

• You must be at least 18 years old to use Luel
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized account access
• You act as an independent contractor (not an employee)
• You are not located in a sanctioned jurisdiction and are not a restricted party

Role Selection

• Contributor: Upload content for sale to AI companies and earn money from approved submissions
• Business: Purchase specialized training data for AI model development (requires business verification)

Prohibited Content

• Illegal, harmful, or offensive material
• Content that violates third-party rights
• Misleading or deceptive content
• Content that could harm AI model training
• Spam, duplicate, or low-quality submissions
• Follow recording laws (e.g., consent for audio in two-party states; no filming where people have a reasonable expectation of privacy)
• Obtain and retain model/voice/likeness releases for identifiable people; use Luel's release flow

Conversation Recording Consent Requirements

For real-time conversation recordings:

• All participants must provide explicit consent before recording begins
• Participants must be at least 18 years old
• Participants confirm their voice will be recorded and used for AI training purposes
• Recording cannot begin until all participants have consented
• Participants understand that once submitted and approved, the recording sale is final and irrevocable

Contributor Rights and Obligations

By uploading content or participating in conversation recordings on Luel, you grant Luel the exclusive right to sell, sublicense, and transfer your content (including all personal information, biometric data, voice, likeness, and identifiable information contained within it) to AI companies for training purposes. This is the core function of our marketplace platform.

• You grant Luel a perpetual, worldwide, transferable, sublicensable, exclusive license to sell and sublicense your content to AI companies
• You grant Luel the right to sell your content, including all personal information (voice, likeness, biometric data, identifiable information) contained within it, to AI companies for training, evaluation, and the creation of derivatives (embeddings, model weights, synthetic data)
• You authorize Luel to store and process your content for quality assurance and marketplace operations
• You grant a model/voice/likeness release for yourself and warrant you have releases for other identifiable people in your content
• You consent to the sale of your personal information and biometric data as part of the content sale to AI companies
• To the extent permitted by law, you waive moral rights and agree not to assert them against Luel or buyers
• Once content is sold to an AI company, the sale is final and irrevocable. You cannot revoke consent, request removal of data from trained AI models, or demand return or deletion of sold content.

AI Company Rights and Obligations

• Data Purchase Understanding: You are purchasing user-generated content that contains personal information, biometric data, voice, likeness, and identifiable individuals. By purchasing content, you acquire all rights to use this data for AI training purposes.
• Purchased content may be used for AI training, model development, research, and the creation of derivatives (embeddings, model weights, synthetic data, AI-generated content)
• Content may be used to train machine learning algorithms, neural networks, and AI models that may be deployed commercially
• Usage rights are non-exclusive unless specified in the purchase agreement
• Resale or redistribution of purchased content in raw form is prohibited, but trained models and derivatives may be used commercially
• Compliance with AI ethics guidelines and responsible AI development required
• Content must be used in accordance with applicable AI regulations
• No re-identification of individuals and no biometric identification (e.g., face recognition) unless expressly permitted by the listing and consents
• No use that violates anti-discrimination or surveillance laws
• Once content is purchased, contributors have no right to request removal of their data from trained models or restrict use of trained models

Contributor Payments

• Payments are processed via Venmo, PayPal, or Stripe to your payout account per listing terms; processing times may vary (2-7 business days)
• Minimum payout threshold: $5.00 USD
• For conversation recordings, payouts are calculated per participant based on duration and listing payout rates
• You must provide W-9/W-8 and tax info; we may issue 1099 forms as required
• We may withhold or claw back payouts for fraud, chargebacks, or policy violations
• You are responsible for all applicable taxes on your earnings

Business Payments

• Business customers pay via invoice or credit card (Stripe)
• Payment terms are specified in individual purchase agreements
• All sales are final once content is delivered

Account Termination

We may suspend or terminate your account for violations of these Terms, fraudulent activity, or other misconduct. You may also terminate your account at any time. We may terminate accounts of repeat infringers consistent with our DMCA Policy.

Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding the accuracy, reliability, or availability of the service
• Warranties that the service will be uninterrupted, secure, or error-free
• Warranties regarding the quality, accuracy, or results of content processed by third-party AI services
• Warranties that your content will be approved, purchased, or generate any specific income

Third-Party Service Disclaimer

Luel uses third-party services to operate the platform. We are not responsible for:

• Service outages or failures of third-party providers
• Errors or inaccuracies in quality assurance results
• Data breaches or security incidents at third-party providers (though we will notify you as required by law)
• Changes to third-party service terms or pricing that may affect platform operations

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Luel shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes damages for lost profits, lost data, loss of goodwill, or service interruptions
• Our total liability for all claims will not exceed the greater of $100 or the amounts you paid to us (or we paid to you) in the 12 months before the claim
• These limitations apply even if we have been advised of the possibility of such damages
• Some jurisdictions do not allow limitation of certain warranties or damages, so some limitations may not apply to you

Indemnification

You agree to indemnify, defend, and hold harmless Luel, its affiliates, and service providers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your content or your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your violation of applicable laws or regulations
• Claims that your content infringes rights or violates consent requirements
• Claims related to conversation recordings where proper consent was not obtained
